Terms of service

SeeUAll is provided from Montréal, Québec, Canada — “we”, “us”. It is licensed to an institution under a written agreement. If you are a member of staff, a participant or a guest using it, you are using it under your institution’s agreement, and these terms apply to you as a user of the service.

Where these terms and a signed agreement with an organisation disagree, the signed agreement governs for that organisation.

Software for running online meetings: live video and audio, screen sharing, chat, a whiteboard, attendance, recording, and — through the desktop application — the ability to hand control of your own computer to another participant.

It is a communications tool. It is not a supervisor, an invigilator, a proctoring system, or a system of record for anything except the attendance and audit information it expressly produces. It should not be relied on as the sole means of delivering anything where a failure would cause serious harm — see §10.

Accounts are created by your organisation or through its systems. You are responsible for keeping your credentials to yourself and for what is done with your account. Tell your organisation promptly if you think somebody else has access to it.

Your organisation may suspend or remove your access at any time. We may suspend access where it is necessary to protect the service or other users, and will tell the organisation when we do.

You agree not to use SeeUAll to:

break the law; harass, threaten or abuse anybody; infringe somebody else’s rights; record or distribute a meeting where you do not have the right to; upload malware; attempt to gain access to accounts, data or systems that are not yours; probe, load-test or interfere with the service without our written permission; resell it; or use it to build a competing product.

You also agree not to misrepresent who you are when joining a meeting, and not to use the take-control feature to do anything on somebody else’s computer beyond what they asked you to do.

The service can record meetings, transcribe them and keep those records. Whether to do so, who is told, what consent is obtained, and how long anything is kept are decisions made by your organisation — not by us.

The organisation is responsible for ensuring that recording a meeting is lawful where its participants are, including obtaining any consent the law requires, and for meeting its own obligations to the people who attend, its staff and any guests. Consent rules differ by country, by province or state, and by the age of the people in the room. We provide the indicator that shows a recording is running, the notice shown before joining, and the controls to turn recording off; we do not and cannot judge whether a particular recording is permitted.

A participant may be granted control of the pointer and keyboard of somebody who is sharing their screen, using the desktop application. That control is granted by the person being controlled, for that session, and can be ended by them at any moment from outside the application.

Whoever grants control is responsible for that decision, and whoever receives it is responsible for what they do with it. Grant it only to people you trust, only while you need to, and never while anything confidential is on the screen you are sharing. We provide the consent prompt, the always-visible indicator, the restriction to the shared surface and the means to end a session instantly. We are not a party to what happens during one, and we do not monitor it.

Everything your institution and its people put into the service — recordings, documents, messages, whiteboards — remains theirs. We claim no ownership of it and use it only to provide the service, as described in the privacy notice.

You are responsible for having the rights to whatever you share, show or upload. We may remove content we are legally required to remove, and will tell the organisation when we do.

Parts of SeeUAll rely on services operated by others: Google Drive for storing recordings where an institution connects it, AI providers for optional summaries, mail providers for invitations, and the internet connections between everybody in a meeting.

Those services have their own terms and their own outages. We are not responsible for their acts, omissions, interruptions or changes, nor for the quality of any participant’s network, hardware, camera, microphone or operating system — none of which are within our control.

We aim to keep the service available and will give notice of planned maintenance where we reasonably can. We do not guarantee that it will be uninterrupted or error-free, and we may change, add or remove features as the product develops.

Where an organisation’s agreement includes a service level, that agreement governs and this clause yields to it.

Except as expressly stated in a signed agreement, and to the fullest extent permitted by law, the service is provided “as is” and “as available”, without warranties of any kind, whether express, implied or statutory — including any implied warranty of merchantability, fitness for a particular purpose, quality, or non-infringement.

We do not warrant that the service will meet your requirements, that a meeting will connect, that a recording will be captured or retained, that a transcript or an AI-generated summary will be accurate, or that attendance data will be complete. Anything a meeting depends on absolutely should have a fallback.

To the fullest extent permitted by law, and except as §13 provides:

We are not liable for indirect, incidental, special, consequential, exemplary or punitive damages, nor for lost profits, lost revenue, lost data, lost goodwill, loss of anticipated savings, or the cost of substitute services — whether or not we were told such losses were possible.

Our total aggregate liability arising out of or relating to the service, in any twelve month period, will not exceed the fees paid to us for the service by the organisation in that period — or, where no fees were paid, one hundred Canadian dollars (CAD $100).

In particular, and without limiting the above, we are not liable for: what participants say or do in a meeting; a recording that was not made, was lost, or was made when somebody did not want it to be; anything done by a person who was granted control of a computer; decisions taken on the basis of attendance data, a transcript or an AI summary; or a failure of a network, device or third-party service.

The organisation will defend and indemnify us against claims brought by a third party that arise from its use of the service in breach of these terms or of the law — including claims about the recording of a meeting, the content shared in one, or the way access was granted to it — except to the extent the claim arises from our own breach or negligence.

Nothing in these terms excludes or limits liability that cannot lawfully be excluded or limited. That includes liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, for our own gross negligence or wilful misconduct, and any liability or right that applicable consumer protection or privacy law gives you and does not allow to be waived.

Some jurisdictions do not allow certain exclusions or limitations, in which case those parts apply to you only as far as the law permits, and the rest of these terms continue in force.

An institution’s agreement sets out how either side may end it. On termination, access stops and data is dealt with as that agreement provides — see §7 of the privacy notice. We may suspend or end access immediately where the service is being used unlawfully or in a way that endangers it or other users.

We may update these terms. Material changes are notified to organisations before they take effect, and the date at the top of this page always shows the version in force. Continuing to use the service after a change takes effect means the new terms apply.

These terms are governed by the laws of the Province of Québec and the federal laws of Canada applicable therein, without regard to conflict of laws rules, and the parties submit to the exclusive jurisdiction of the courts of the Province of Québec, judicial district of Montréal — except that either party may seek injunctive relief in any court of competent jurisdiction.

If any provision is held unenforceable, it is severed and the rest continues in force. Our not enforcing a term is not a waiver of it.
